Terms and Conditions of Sale

These Terms and Conditions of Sale govern purchases of botanical raw materials, standardized extracts, purified isolates, samples, and related ingredients supplied by Quality Botanical Imports LLC.
1. Scope and Acceptance
These Terms and Conditions of Sale (“Terms”) govern access to the Quality Botanical Imports website and the purchase of botanical raw materials, standardized extracts, purified isolates, samples, and related ingredients supplied by Quality Botanical Imports LLC (“QBI,” “we,” “us,” or “our”) (collectively, “Products”).
By submitting an order, completing a purchase through an online payment page, accepting a quotation or invoice, submitting a purchase order that QBI accepts, or otherwise purchasing Products from QBI, the purchaser (“Buyer”) agrees to these Terms.
Buyer represents that Products are being purchased on behalf of a business or for an appropriate lawful professional, formulation, research, development, manufacturing, sourcing, or other commercial purpose. QBI Products are not offered as finished consumer products.
If an individual places an order on behalf of an organization, that individual represents that they have authority to bind the organization to these Terms.
2. Product Status and Intended Use
QBI supplies raw botanical ingredients for evaluation, formulation, commercial development, research and development, and further manufacturing.
QBI Products are not sold as finished dietary supplements, foods, drugs, cosmetics, or other finished consumer products unless QBI expressly identifies a particular Product otherwise in writing.
Buyer is solely responsible for determining whether a Product is appropriate and lawful for Buyer's intended application and for ensuring that any formulation, manufacturing, packaging, labeling, advertising, distribution, or sale of a downstream product complies with applicable federal, state, local, and international laws and regulations.
QBI does not provide medical advice, consumer dosing advice, or assurances concerning the regulatory status of Buyer's finished products.
3. Orders and Acceptance
Submission of payment, receipt of an automated payment confirmation, or submission of a purchase order does not by itself constitute final acceptance of an order by QBI.
QBI may decline or cancel an order before shipment for reasons including Product availability, pricing or listing errors, inability to verify Buyer information, payment-processing concerns, regulatory or legal concerns, destination restrictions, suspected fraud, or a determination that the proposed transaction is inconsistent with QBI's commercial policies.
If QBI cancels a prepaid order before shipment, QBI will refund the applicable amount paid for the cancelled Product to the original payment method or by another mutually agreed method.
QBI may establish minimum order quantities, purchaser qualifications, documentation requirements, or other conditions for particular Products or quantities.
4. Pricing, Payment, and Taxes
Prices are stated in U.S. dollars unless otherwise indicated.
Payment is due according to the applicable checkout page, quotation, invoice, purchase order acknowledgment, or other written agreement. Online payments may be processed by third-party payment service providers.
Unless QBI expressly agrees to different payment terms in writing, QBI may require payment in full before initiating procurement, production, testing, or shipment of a commercial order.
Buyer is responsible for applicable sales, use, excise, import, customs, or similar taxes and governmental charges unless QBI is legally required to collect them or Buyer provides valid exemption documentation acceptable to QBI.
Prices, availability, specifications, and shipping charges may change without notice before an order is accepted.
5. Product Specifications and Batch Documentation
The specifications applicable to a Product are those expressly identified by QBI for the Product grade and/or production lot supplied, including as applicable in a quotation, order confirmation, specification sheet, Certificate of Analysis (“CoA”), independent analytical report, or other written lot documentation.
Website product descriptions provide general information about Product identity, format, botanical source, and typical or available specifications. Unless expressly stated otherwise, website descriptions do not constitute a representation that every production lot will have an identical analytical result.
Where QBI provides a batch-specific CoA, independent analytical report, specification sheet, or other batch documentation, that documentation applies only to the material identified in the applicable document.
Product specifications may establish a minimum, maximum, range, or other acceptance criterion and should not be interpreted as a representation that every qualifying batch will have the same numerical result.
Qualification samples and subsequent commercial orders may originate from different qualified production batches. A sample permits Buyer to evaluate the applicable Product grade but does not guarantee that a later commercial shipment will originate from the same batch.
Documentation available for a Product may vary according to Product, supplier, lot, quantity, testing status, intended application, and commercial arrangement.
6. Analytical Testing and Testing Scope
Analytical testing may be used by QBI in connection with supplier qualification, active-compound or marker verification, comparison of candidate materials, investigation of unexpected results, commercial lot review, or customer-specific requirements.
Potency, purity, identity, or marker-compound testing and contaminant testing are separate analytical categories. A result for a target compound does not by itself establish heavy-metal, pesticide, microbial, residual-solvent, or other contaminant status.
QBI does not represent that every Product or production lot has undergone the same independent testing program or a complete contaminant panel.
When a current full-panel result applies to the material being offered, QBI may provide that documentation. For commercial orders of 1kg or more, additional full-panel or customer-specific laboratory testing may also be arranged when agreed by QBI, generally at pass-through laboratory cost.
Buyer should identify mandatory analytical methods, limits, contaminant panels, laboratory qualifications, documentation, and other testing requirements before the commercial order is finalized. Additional testing may affect price and lead time.
Laboratory reports are subject to the methods, detection and quantitation limits, reference materials, sample preparation, measurement uncertainty, and other conditions applicable to the laboratory analysis.
7. Buyer Evaluation and Suitability
Buyer is responsible for evaluating each Product for suitability for Buyer's intended formulation, process, application, and finished product.
QBI's analytical testing, specifications, documentation, technical discussions, samples, or prior supply history do not replace Buyer's responsibility to perform appropriate incoming-material review, formulation work, stability testing, safety assessment, regulatory review, and other qualification activities appropriate to Buyer's application.
Unless expressly agreed in writing, QBI does not warrant that a Product is suitable for any particular formulation, delivery system, manufacturing process, regulatory category, or finished-product claim.
8. Shipping and Delivery
Shipping and delivery dates are estimates unless QBI expressly agrees otherwise in writing.
Buyer is responsible for providing a complete and accurate delivery address and any information reasonably necessary for lawful shipment.
QBI is not responsible for delays caused by carriers, weather, customs authorities, governmental actions, incorrect delivery information, laboratory delays, force majeure events, or other circumstances outside QBI's reasonable control.
Unless otherwise stated in a quotation, invoice, or written agreement, shipping charges may be charged separately or included in the purchase price as indicated at checkout.
Buyer should inspect shipments promptly after delivery and notify QBI as provided below of damage, shortages, incorrect Products, or apparent nonconformity.
9. Returns, Refunds, and Product Claims
Because QBI supplies specialty raw ingredients whose identity, condition, and chain of custody may be affected after delivery, Products may not be returned without QBI's prior written authorization.
Except where otherwise required by law, opened, used, altered, repackaged, contaminated, or otherwise compromised Products are not eligible for return.
Claims involving shipping damage, incorrect Products, shortages, or reasonably discoverable nonconformity should be reported to sales@qualitybotanicalimports.com within five (5) business days after delivery. Buyer should preserve the Product, packaging, labels, and relevant documentation while a claim is reviewed.
If QBI confirms that a Product materially failed to conform to the written specification expressly applicable to that Product and lot at the time of shipment, QBI may, at its option and subject to applicable law, replace the affected Product, issue a credit, or refund the purchase price paid for the affected Product.
QBI may request photographs, retained samples, analytical documentation, return of unopened material, or other reasonable information before resolving a claim.
Shipping charges and payment-processing fees are nonrefundable except where QBI determines otherwise or applicable law requires a refund.
10. FDA and Health Disclaimer
Statements made by QBI regarding botanical ingredients have not been evaluated by the U.S. Food and Drug Administration unless expressly stated otherwise.
QBI Products are raw materials and are not represented by QBI as intended to diagnose, treat, cure, or prevent any disease.
Nothing on QBI's website, in Product documentation, or in communications from QBI should be interpreted as medical advice or as a recommendation concerning consumer use or dosage.
11. Regulatory Compliance
Buyer is solely responsible for compliance with laws and regulations applicable to Buyer's possession, use, formulation, manufacture, labeling, promotion, distribution, export, import, or resale of Products.
Buyer agrees not to purchase, use, resell, export, or transfer Products in violation of applicable law, sanctions, trade restrictions, or governmental requirements.
QBI may request information concerning Buyer's identity, business, intended application, destination, or other transaction details where reasonably necessary for compliance, risk management, product qualification, or payment processing.
12. Limited Product Warranty
QBI warrants that, at the time of shipment, a Product will materially conform to the written specification expressly applicable to that Product and lot, subject to the analytical methods, tolerances, conditions, and other qualifications identified in the applicable documentation.
EXCEPT FOR THIS EXPRESS LIMITED WARRANTY AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, QBI DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SUITABILITY FOR A PARTICULAR FORMULATION OR APPLICATION.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QBI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO A PRODUCT, TRANSACTION, FORMULATION, MANUFACTURING PROCESS, OR DOWNSTREAM PRODUCT, INCLUDING LOST PROFITS, LOST BUSINESS, PRODUCTION LOSSES, RECALL COSTS, OR CLAIMS INVOLVING BUYER'S CUSTOMERS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QBI'S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PRODUCT OR TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO QBI FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
14. Indemnification
To the extent permitted by law, Buyer agrees to indemnify, defend, and hold harmless QBI and its members, managers, officers, employees, agents, and suppliers from third-party claims, liabilities, losses, damages, and reasonable costs arising from Buyer's formulation, handling, manufacturing, labeling, marketing, distribution, resale, or other downstream use of Products, except to the extent caused by QBI's breach of an express obligation under these Terms or by conduct for which indemnification may not lawfully be required.
15. Force Majeure
QBI will not be liable for delay or failure to perform caused by circumstances beyond its reasonable control, including supply interruptions, manufacturing delays, transportation disruptions, customs delays, laboratory delays, governmental actions, natural disasters, labor disruptions, utility or communications failures, epidemics, war, civil disturbance, or similar events.
16. Conflicting Purchase Terms
Any additional or conflicting terms contained in Buyer's purchase order, vendor portal, procurement document, or other communication are rejected unless expressly accepted in a writing signed by an authorized representative of QBI.
A quotation, supply agreement, or other written agreement signed by QBI may modify these Terms for the applicable transaction. If such an agreement conflicts with these Terms, the signed agreement controls to the extent of the conflict.
17. Website Content and Intellectual Property
QBI website text, branding, graphics, product descriptions, educational materials, and other original content are owned by QBI or used under applicable license unless otherwise indicated.
Website information is provided for general commercial and educational purposes and may be updated without notice. Product-specific contractual obligations are determined by the applicable order documents and these Terms rather than general website content.
18. Governing Law and Venue
These Terms and transactions with QBI are governed by the laws of the State of California, without regard to conflict-of-law principles.
To the extent permitted by law, any legal proceeding arising from these Terms or a sale of Products shall be brought in the state or federal courts having jurisdiction in San Diego County, California, and the parties consent to such jurisdiction and venue.
19. Severability and Waiver
If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect and the affected provision will be enforced to the maximum extent permitted by law.
QBI's failure to enforce a provision on one occasion does not waive its right to enforce that provision later.
20. Changes to These Terms
QBI may revise these Terms periodically. The version posted when an order is submitted will ordinarily govern that transaction unless otherwise agreed in writing.
The “Last Updated” date above identifies the most recent revision.
