1. Acceptance of Terms

By accessing the Quality Botanical Imports ("QBI") website or purchasing raw botanical materials, isolates, or extracts ("Products") from QBI, the purchasing entity ("Buyer") agrees to be bound by these Terms and Conditions. QBI operates strictly as a Business-to-Business (B2B) supplier. We do not sell directly to end-consumers.

2. Intended Use & Buyer Responsibility

All Products supplied by QBI are strictly intended for research, compounding, or further commercial manufacturing by qualified professionals.

  • Not a Finished Product: Our Products are raw botanical ingredients and are not finished dietary supplements, foods, or pharmaceuticals.

  • Regulatory Compliance: The Buyer assumes full responsibility for ensuring that their final formulated products comply with all applicable local, state, and federal regulations (including FDA and cGMP guidelines) regarding safety, dosing, labeling, and marketing.

3. FDA Disclaimer

The statements made regarding our Products have not been evaluated by the Food and Drug Administration. The raw materials provided by QBI are not intended to diagnose, treat, cure, or prevent any disease.

4. Specifications and Warranties

QBI warrants that all Products delivered will conform to the specifications outlined in the batch-specific Certificate of Analysis (CoA) provided at the time of sale.

  • Disclaimer of Implied Warranties: EXCEPT FOR THE EXPRESS WARRANTY STATED ABOVE, QBI DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR APPLICATION.

5. Limitation of Liability

Under no circumstances shall QBI be held liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the purchase, formulation, or use of our Products. This includes, but is not limited to, loss of profits, ruined manufacturing batches, or downstream legal claims from the Buyer's end-consumers. In all cases, QBI's total liability shall be strictly limited to the original purchase price of the specific raw materials in question.

6. Indemnification

The Buyer agrees to indemnify, defend, and hold harmless QBI, its officers, directors, and manufacturing partners from any and all claims, liabilities, damages, and expenses (including attorney's fees) arising from the Buyer's handling, formulation, marketing, or sale of products containing QBI's raw materials.

7. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California. Any legal action or proceeding arising out of these terms or the sale of Products shall be brought exclusively in the state or federal courts located in San Diego County, California.
